After graduating from Wits University, Michelle joined Price Waterhouse in the audit division where she remained for seven years. In 1994, she joined a new joint venture with FirstCorp Merchant Bank and started her corporate finance career, doing her first acquisition of the Bergers Group Limited shell and reverse listing. Following FirstCorp’s restructure in 1995, she took over the business, forming Kingfisher Corporate and Executive, providing corporate finance and listing services to entrepreneurial businesses. After the birth of her first child in 2001, Michelle joined the Arcay group and started the sponsor business within Arcay. Thereafter, she took over the company secretarial business, which primarily serviced listed companies. After a couple of years she was allocated a shareholding in both these business. In 2013, Michelle was part of a team that did a management buyout of the controlling interest of various subsidiaries, leading to the formation of Arbor Capital. In October 2019, the Arbor Capital group restructured and the listing business and company secretarial business were reacquired by Michelle, keeping the team intact, and leading to the rebranding of the two businesses as AcaciaCap Advisors and Light Consulting.

Nastasja holds an MBA, BCom (Law) and LLB, and has published in the Journal of International Marketing Strategy. She is a JSE Approved Executive and has gained significant corporate finance experience having previously worked for a number of boutique corporate finance firms where she primarily advised on the JSE Listings Requirements, the rules of the Takeover Regulation Panel, and aspects of the South African Companies Act in respect of, inter alia, mergers and acquisitions, disposals, listings, and schemes of arrangement. In 2016 she joined an alternative investment firm in Sydney where she played a key role in launching the firm’s first early stage venture capital fund. Nastasja joined the extended team at AcaciaCap in 2017.

Kay has been working in the Corporate Finance environment since 1995 starting off at Deloitte & Touche as an Executive Assistant (“EA”) to three partners in the Corporate Finance Department. She assisted with the formation, typing & formatting of numerous due diligence reports as well as the day to day EA duties. Kay then moved to Ernst & Young in 2002 where she first became involved in the listing environment. As well as being involved in listing work, Kay undertook some administrative responsibilities for the Corporate Finance Department, as well as assisted the Mergers & Acquisitions Department with their documentation.
After Ernst & Young, Kay joined the team at AcaciaCap Advisors in March 2005. Kay was well known to the team and was a perfect fit with her knowledge of the back office workings of a listed environment. She also put her shorthand skills to good use, acting as a scribe at clients’ Board, Audit & Risk, Remuneration and Nominations Committee meetings. More detailed knowledge of the listing environment was gained during these years.
Needing a break from the Corporate Finance environment, Kay made a complete change and joined a logistics company as office manager in 2011. After a three year break and missing the “buzz” of the Corporate Finance world, Kay came home and rejoined the AcaciaCap Advisors team in 2014 as Listing Co-ordinator and Office Manager.

Cidalina started her career in the banking environment at Mercantile Bank Limited in 1984, performing a number of functions from a bank teller to compliance and assisting with the processing and approval of credit facilities for clients. In June 2001, she joined the Arcay group as the personal secretary to the then company secretary, which had operated in the listed environment. The Company Secretarial services were expanded to clients on an outsource basis for both private and listed companies. Cidalina has been an integral part of the company secretarial service offering, managing client relationships, scheduling board and committee meetings, pack preparations, attending meetings, drafting minutes and liaising extensively with the transfer secretaries particularly in the dematerialised share environment as well as Strate and the recently formed ZARX. Over the years, she has trained incoming staff members in company secretarial duties.
Cidalina also assists with the services to companies listed on the JSE, assisting with the SENS announcements, JSE liaison and submissions. She also assists with new listings whereby she interacts with CIPC and the JSE with the approval and registration of prospectuses as well as compiling the initial share registers in conjunction with the transfer secretaries, stock brokers and CSDPs.

Assistant Company Secretary
Doris Shabangu has been with the group for 25 years and moved into the Company Secretarial side of the business over 15 years ago. Doris has grown substantially through her experience and understands the importance of Company Secretarial work, working hand in hand with the Board Chairman and management to achieve the compliance goals of the clients.
Doris assists in providing an all-round service from preparing for and attending Board and Committee meetings, preparation of minutes, keeping track of Board policies and procedures, ensuring that the organisation adheres to the Companies Act, 2008, other Acts and Regulations, where appropriate and promotion of proper corporate governance processes for both listed and unlisted clients.
For our listed clients, Doris also provides assistance with JSE announcements, application letters and other listing related support for clients listed on the Alternative Exchange and Main Board of the JSE.
Tryphina started working at Arcay Investments (Pty) Limited in 1999 as a Refreshments Lady. In 2002, she was then promoted to Office Assistant and Supervisor of the Refreshments Team, including cleaning staff. She then moved to the position of Payroll Administrator in the Human Resources Division handling this function for a number of years.
In 2016, Tryphina moved to the Company Secretarial Department of Light Consulting and assists with submissions to CIPC including Company Registrations, Director changes, annual returns and other CIPC changes. She also assists with drafting of Agendas, Annual General Meeting minutes, drafting of Resolutions, preparation of board packs, maintaining minute books and share registers, share transfers and filing. Tryphina handles all these functions whilst being the Receptionist for Light Consulting and AcaciaCap Advisors.

Rosie joined Light Consulting (Pty) Ltd (previously known as Arbor Capital Company Secretarial (Pty) Ltd in 2011. Rosie started as a filing clerk and soon after showed a keen interest in the secretarial side of the business. She has been trained to the point of being able to handle all transactions relating to private companies as well as lodgement of documentation with the Companies and Intellectual Property Commission (“CIPC”).

Douglas Greenshields was admitted as an attorney of the High Court of South Africa in 1975 after completing his articles at Werksmans Attorneys.
In 1979, he joined Finansbank Limited, a boutique merchant bank, which subsequently became Nedbank Investment Bank, in the Corporate Finance Division. He has been involved in providing corporate advisory services, predominantly to clients listed on the Johannesburg Stock Exchange, since then, after stints at SCMB, LPC Manhattan Sponsors and latterly at Arbor Capital Sponsors. He is an Approved Executive in terms of the Listings Requirements of the JSE.

Willie studied at the University of Pretoria and obtained a B.Com (Hons) degree in 1988. After serving articles at Ernst & Young and practicing there for several years, Willie established an auditing practice in 1997, which was later sold into Grant Thornton, Pretoria. In 1997, he established a successful consultancy business that procures government incentives for clients. Willie later merged this business into what has now become Arbor Capital Incentives. During the past 17 years, Willie has procured Government Incentive funding for more than 800 companies. Willie has a true entrepreneurial spirit and extensive experience in turning distressed businesses into sustainable ventures. He is also an approved executive with the JSE. Willie heads up the Business Incentives services of Arbor Capital.
